I'd like to have some feedback on my bat :P

The wings would indicate it's a flying squirrel, and not a bat :o
Type "bat" or "bats" in google and check out how a bat's wings are actually composed. I did it myself and I found an especially good image (though there are tons of others for reference!).

I actually googled for bat, but I couldnt manage to make a 32*32 bat look like it.

Oh, come now, "I couldn't manage" is hardly a good excuse! :P People have made 16x16 sprites look like suits of armor, so don't be so discouraged.
One thing I noticed about bats is that they have feet that stick out noticeably behind them. Also, it seems as though the wings should be longe.

One skill that you must learn as a sprite artist is taking an intial image as a reference, and being able to compose that at any size. It's pretty much required, since you're never going to find reference at the perfect size you're looking for. Anyway, here's a good image as reference, notice how long the wings are, pretty much the same size as the length of the body, and notice they arc way beyond the head.

Do you have that bat in a side view too?
